Eligibility & Programme Period |
The programme is applicable only to authorised Watertec distributors. A minimum annual business of ₹25 Lakhs (25,000 WaterPoints) is required to become eligible. Only eligible purchases billed between 01 April 2026 and 27th March 2027 will be
considered. |

WaterPoint Calculation |
Every ₹100 of eligible net billing (Pre-GST) earns 1 WaterPoint. WaterPoints shall be calculated based on SAP net sales after adjusting returns, credit notes, schemes, free-of-cost supplies and any other applicable commercial adjustments. Watertec's
calculation shall be final. |

Growth Eligibility |
Conference (L1) and Family Pass (L2) benefits are available only to distributors achieving positive business growth over their FY26 actual business. Distributors recording de-growth shall not be eligible irrespective of WaterPoints earned. |

Qualification Milestones Billing and DMs |
To remain eligible, distributors must achieve at least 75% of their Individual WaterPoint Target by 31 December 2026. And onboarded on DMS by 30 September 2026. |

Recognition Level & Tier Movement |
Recognition Levels are for customer classification only and do not determine conference eligibility. Recognition Levels may move upward during the programme year and, once upgraded, shall remain locked for the balance of FY27. No downgrade shall
apply during the programme period. |

Conference & Family Pass Qualification |
Conference qualification (L1) shall be based on achieving the applicable Individual WaterPoint Target. Family Pass qualification (L2) shall require achievement of the upgraded Recognition Level, wherever applicable, together with the prescribed
additional Family Challenge. |

New Distributor Policy |
Distributors appointed during FY27 shall be eligible only for Conference Qualification (L1), subject to programme eligibility criteria. Family Pass (L2) benefits shall not be applicable during their first programme year unless specifically communicated
otherwise by Watertec. |

Compliance & Business Conduct |
Distributors must comply with all Watertec commercial policies, market operating norms and business conduct guidelines. Any violation, including overdue (OD) status, commercial irregularities or policy breaches, may result in immediate disqualification
without prior notice. |

Conference Travel & Participation |
Conference benefits are provided on a Hub-to-Hub basis. Travel from the distributor's location to the designated departure hub shall be arranged by the distributor. Watertec reserves the right to change conference dates, destinations or itinerary
to an equivalent alternative due to operational, regulatory or force majeure circumstances. |

Conference Pass Usage |
Conference and Family Passes are personal, non-transferable and cannot be exchanged for cash or any other benefit. Family Pass shall be valid only for the distributor's spouse or an immediate family member actively associated with the business.
Watertec may request supporting documents before confirming participation. |

Taxes & Financial Liability |
Any applicable TDS, income tax or other statutory levies arising from programme benefits shall be borne by the distributor in accordance with prevailing laws. Watertec shall deduct taxes wherever required under applicable regulations. |

General Conditions |
Watertec India Pvt. Ltd. reserves the right to verify programme data, review eligibility and take the final decision on all matters relating to qualification, interpretation, disputes and programme administration. No credit note, cash alternative
or substitute benefit shall be provided in lieu of conference benefits. Watertec's decision shall be final and binding on all participants. |

General Terms & Conditions
These Terms and Conditions (“Terms”) is a legal agreement between the channel partners (“Participants”, “you”, “your”) and Watertec India Private Limited (“Company”).
This Terms affects your legal rights and obligations and by entering into this Terms, you confirm that you are competent to contract under the relevant local laws and represent, warrant, and agree that you have read, understood, and hereby agree to be
bound by the terms of this Terms, Program and to all additional guidelines, restrictions or rules that may be provided in connection with the Program. Further, you represent that you have requisite power and authority to enter into this Terms.
This document is an electronic record in terms of the Information Technology Act, 2000 and the rules framed thereunder, as applicable and amended from time to time, pertaining to electronic records in various statutes as amended by the Information Technology
Act, 2000.
You shall be deemed to have accepted this Terms if you or your representative:
- assents to the Program sent to you by the Company;
- accepts or utilizes any part of the services or avails pursuant to the Program; or
- receives a voucher in relation to the Program; or
- takes any other action evidencing your acceptance of the benefits of any part of the Program.
The Watertec Chairman’s Club FY27 as detailed in the Brochure (“Program”) is an initiative organized and administered by the Company. The Program includes certain incentives such as customized stationery, anniversary and birthday celebrations,
and access to club conferences at international locations, along with other benefits as may be specified under the Program (“Benefits”). This Program will be governed by the following Terms and the Participants availing the Benefits
under the Program as per the eligibility criteria as set out herein agree that they have read and understood these Terms and by their participation in the Program, Participants agree to be bound by these Terms. The Company reserves the right to cancel
or amend the Program, Program Period and the Terms of this Program at any time without any prior notice without any claims of any nature whatsoever, whether from the Participants or any person acting on behalf of or through the Participants. The general
Terms are as follows:
- The duration of this Program shall only remain valid for FY 2026-27 (“Program Period”).
- The eligibility of any Participant for the Program, the computation or assessment of growth rate, annual turnover, or any other parameter relevant shall be as set out under the Program and shall be determined and identified at the sole discretion
of the Company and shall be final, conclusive, and binding on all Participants. The Company’s interpretation of the Program shall prevail under all circumstances and shall be final, conclusive, and binding on all Participants. No Participant or
the Accompanying Family Member (defined hereinafter) shall have any right to dispute the eligibility criteria, the interpretation thereof, or any decision taken by the Company in this regard. If any Participant or the Accompanying Family Member
disputes or challenges any decision of the Company in relation to the Program, the Company shall have the absolute right to disqualify such Participant or Accompanying Family Member from the Program with immediate effect without any claim.
- Subject to the terms and conditions of the Program, the Company may, offer certain Benefits to the Participant's spouse or an immediate family member associated with the Participant's business ("Accompanying Family Member").
For the purpose of this clause, "immediate family member" shall mean the Participant's distributor's spouse or an immediate family member actively associated with the business. The eligibility of the Accompanying
Family Member shall be subject to the prior written approval of the Company, whose decision in this regard shall be final and binding. The Company reserves the absolute right, to accept or reject any Accompanying Family Member or require the Participant
to nominate another Accompanying Family Member, without assigning any reason. The Accompanying Family Member shall be bound by these Terms and any additional guidelines, conditions, policies, or requirements as may be prescribed by the Company
from time to time. The Accompanying Family Member acknowledges and agrees that they shall have no right to enforce or pursue any claim, action or proceeding of any nature whatsoever against the Company or any person for and on behalf of the Company.
- All Benefits under the Program are provided strictly on an “as is” basis. The Company makes no representation and warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, performance,
suitability or availability of the Benefits provided under the Program. Notwithstanding any other provision of this Terms or the Program, the Company shall not have any liability of any nature whatsoever under this Program, whether in tort, equity,
at law, and/or otherwise.
- The Company may engage the services of third-party service providers including but not limited to insurance companies, travel agents etc. organising the Program and Benefits thereunder. Any Benefits or services of or under the Program provided through
third parties engaged by the Company under the Program are solely governed by the respective third-party’s terms including insurance providers, travel companies etc. All claims, disputes, damages, or liabilities arising out of such Benefits provided
under the Program shall be between the Participant, the Accompanying Family Member and the concerned third party without any claims on the Company. Warranties or guarantees, if any offered by the third party, can be claimed by Participant and
the Accompanying Family Member directly against such third party without any claims on the Company. The Company shall not be made a party to any litigation, claims, disputes pertaining to any such liabilities, warranties and guarantees on the
Benefits provided under the Program.
- The Benefits under the Program are non-transferable in nature and can be availed only by the Participant and the Accompanying Family Member as per the eligibility terms as set out in the Program.
- Further, the Company reserves a right to amend, suspend or cancel the Program or any Terms herein at any time without any claims. The nature, extent, manner, and timing of any Benefits provided by the Company under the Program including travel plans,
flight details, location, hotel stay, internal tours, shall be determined solely by the Company, and the Participant or the Accompanying Family Member shall have no right to dispute the same under any circumstances.
- The Company reserves the right to terminate the participation of any of the Participant or the Accompanying Family Member who it reasonably suspects has violated or infringed any of these Terms and the Company reserves the right to pursue legal action
against any Participant or Accompanying Family Member it believes has undertaken fraudulent activities or other activities harmful to the Program.
- By entering the Program, the Participant indemnifies the Company against any and all actions, claims, damages, expenses, losses, costs, expenses, suits, proceedings or liabilities suffered or incurred directly or indirectly by the Company in consequence
of any breach or alleged breach, non-performance or non-observation by the Participant or the Accompanying Family Member of any Terms, agreement, conditions, obligation or warranty on the part of the Participant or the Accompanying Family Member
herein or any fraudulent activity or misconduct by the Participant or Accompanying Family Member any person acting on their behalf.
- The Company reserves the right to disqualify and/or exclude any entries of the Participant or the Accompanying Family Member from the Program and / or exclude availing of the Program benefits, for any reason and for no reason, including without limitation,
violation or breach of any portion of these Terms.
- If any or all of the Benefits of the Program is cancelled, postponed, rescheduled, modified or otherwise affected due to any reason whatsoever including due to any force majeure event or circumstances beyond the reasonable control of the Company,
or due to any cancellation or breach by third party service providers, the Company shall not be liable in any manner whatsoever for any reimbursement, compensation, loss, damages or claims of any kind to the Participants and the Accompanying Family
Member and the Participant and the Accompanying Family Member agrees to not raise any claims on the Company.
- Any Participant or Accompanying Family Member who declines, formally opts out of, or is otherwise rendered unable to avail themselves of any Benefit granted under this Program, for any reason whatsoever, shall immediately and irrevocably forfeit that
Benefit. The forfeited Benefit shall not be transferred, substituted with any alternative plan or benefit, postponed for a future date, or converted into a credit note, cash, or any other form of monetary or in-kind compensation.
- All Participants and Accompanying Family Member must maintain professional and respectful conduct throughout the conferences and all related activities under the Program. The Company reserves the right to enforce immediate expulsion from the Program
for any serious breach of conduct.
- All taxes, charges, costs, expenses including but not limited to travel to the departure hub, visa fees, documentation charges, upgrades, personal expenses, and any other costs not explicitly mentioned as covered by the Company under the Program,
shall be solely borne by the Participant including for its Accompanying Family Member. The Company shall have no liability whatsoever for any such additional amounts, nor shall it be required to reimburse, compensate, or contribute towards any
expense incurred by the Participant or the Accompanying Family Member in connection with the Program.
- The Participant and the Accompanying Family Member acknowledges and agrees that their participation in the Program and availing of the Benefits thereunder is voluntary and undertaken at their own risk, cost and expense, save and except to the extent
of the costs expressly agreed by the Company under the Program. The Company shall not be liable or responsible, and the Participant including the Accompanying Family Member shall be liable for any loss, injury, death, illness, accident, mishap,
damage, theft, penalty, fine, claim, demand, action, proceeding, liability, cost, expense, or damages of whatsoever nature, incurred or suffered by the Participant including the Accompanying Family Member. These Terms for the Program are governed
by the laws of India, and the courts of Mumbai shall have exclusive jurisdiction to deal with any matter arising thereof.
